By the end of this guide, you'll be able to upload vendor contracts to Claude and get a structured review in 20–30 minutes — flagging missing provisions, unusual terms, liability gaps, and key obligations you need to track. You won't need to read every page of every contract before signing.
What you'll need
Go to {{tool:Claude.url}}, sign in to your {{tool:Claude.plan}} account, and click New Chat.
Click the paperclip icon at the bottom of the chat box and upload the vendor contract PDF. Wait for it to process — you'll see the filename appear above the input box.
Type this review request:
I'm a facilities manager reviewing a vendor contract for [service type, e.g. HVAC maintenance / janitorial / security]. Please review this contract and identify:
1. Key obligations — what we must do and what the vendor must do
2. Missing provisions — standard clauses typically expected in this type of contract that are absent
3. Red flags — unusual or unfavorable terms we should question
4. Insurance and liability — what coverage is required, whether indemnification is one-sided
5. Termination rights — our options if the vendor underperforms
6. Key dates and auto-renewal clauses — anything that triggers automatically
7. Performance standards and remedies — what happens if they don't perform?
Summarize as a structured review. Flag anything that requires legal counsel review.
After the initial review, ask follow-up questions:
The indemnification clause in Section 7 says [paste text]. Is this standard? What does it mean for us if a contractor is injured on our property?
What additional provisions should I request before signing? This is a 3-year contract with a company we haven't worked with before.
Ask Claude to extract the trackable obligations:

What you should see: A structured, section-by-section review highlighting the most important issues to address before signing
Troubleshooting: If the contract is very long and Claude misses sections, try uploading it in two parts with a note: "Part 1 of 2 — please analyze with Part 2 before summarizing"
1. Full contract review:

2. Comparison with prior contract:
Compare this renewal contract to these prior terms: [describe prior key terms]. What changed? Are any changes unfavorable to us?

Explain what this clause means in plain language: [paste clause]. What's the practical implication for a facilities manager?
4. Request for additional provisions:
Based on this contract for [service type], what additional provisions should I request? We're signing a 3-year agreement with a new vendor.
